MSME (Udyam) Registration

Udyam registration that gives micro, small and medium businesses access to MSME benefits.

MSME (Udyam) Registration

Who needs it

Manufacturers and service businesses within the MSME limits.

Many businesses put off Udyam registration because nothing forces them to register: there is no penalty and no notice. Yet the certificate opens access to collateral-free loan guarantees, priority sector lending, protection against late payment by buyers, and preferences in government procurement. These benefits generally cannot be claimed after the fact, once a payment dispute or loan application is under way. We register businesses under the right category, keep the registration up to date and help use the benefits.

What Udyam registration is

Udyam is the government's registration system for micro, small and medium enterprises under the MSMED Act, 2006. It replaced Udyog Aadhaar in 2020, and older Udyog Aadhaar certificates had to be migrated. Registration is free, online, based on Aadhaar and PAN, and gives a permanent Udyam registration number and a certificate with a QR code that can be verified.

  • There is no renewal, but turnover and investment details should be updated each year.
  • Figures are taken from GST and income tax data, so those filings need to be accurate and current.
  • One registration covers all units and locations of the enterprise under the same PAN.
  • Export turnover is excluded when working out turnover for classification.

Classification

An enterprise is classified on both investment in plant, machinery or equipment and annual turnover. If it exceeds either limit, it moves to the next category.

CategoryInvestment up toTurnover up to
Micro₹2.5 crore₹10 crore
Small₹25 crore₹100 crore
Medium₹125 crore₹500 crore

An enterprise that grows beyond its category keeps its existing status until the end of the financial year following the year it crossed the limit, so benefits are not lost overnight.

Documents and process

  • Aadhaar of the proprietor, managing partner, karta or authorised signatory
  • PAN of the enterprise
  • GSTIN, where the business is registered
  • Bank account details
  • Activities, with NIC codes for goods or services
  • Investment in plant and machinery (at original cost, not depreciated value) and turnover

Aadhaar and PAN are verified online and the certificate is usually issued the same day. Delays mostly come from NIC codes that don't match the actual activity, or figures that don't agree with GST returns.

Benefits

  • Loan guarantees: collateral-free credit for micro and small enterprises under the CGTMSE scheme
  • Protection against late payment: under section 15 of the MSMED Act, buyers must pay registered micro and small suppliers within the agreed period, not exceeding 45 days, or pay interest at three times the bank rate; disputes can be referred to the MSME Facilitation Council (the Samadhaan portal)
  • Tax rule for buyers: under section 43B(h) of the Income-tax Act, buyers can deduct amounts owed to micro and small enterprises only when paid within the time allowed, which encourages prompt payment
  • Priority sector lending: better access to bank credit and in some cases lower interest rates
  • Government procurement: a share of purchases by central government departments is reserved for micro and small enterprises, with exemption from tender fees and earnest money in many tenders
  • State and central schemes: subsidies for technology upgrades, ISO certification, trademark and patent fees, and cluster development

None of these apply without an active Udyam registration, so register before applying for a loan or tender.

Who should register

  • Manufacturers and service providers, including consultancies, agencies and professional practices
  • Businesses supplying large companies or government departments, where payment protection matters
  • Businesses applying for term loans or working capital
  • Startups planning to apply for schemes, subsidies or tenders
  • Retail and wholesale traders, who can register for priority sector lending benefits (other benefits are limited to manufacturing and services)
