ROC & corporate compliance

Event-Based ROC Filings

Filings for changes during the year: directors, registered office, share capital, allotments, name, objects and auditors.

Event-Based ROC Filings

Who needs it

Any company or LLP that changes its directors or partners, its address, its capital or its constitutional documents. Most changes must be filed with the Registrar within 30 days.

Annual filings are only half of ROC compliance. Every time something changes in a company, the Registrar must be told, usually within 30 days, and late filings attract additional fees that grow every day.

Changes we file

  • Appointment, resignation or change in designation of directors (DIR-12)
  • Shift of registered office within or across cities and states (INC-22 and related forms)
  • Increase in authorised capital and other changes to the memorandum (SH-7, MGT-14)
  • Allotment of shares, rights issues and private placements (PAS-3 and related forms)
  • Change of name or objects
  • Appointment or change of auditors (ADT-1, ADT-3)
  • Creation, modification and satisfaction of charges (CHG-1, CHG-4)

Done in the right order

Many changes need a board resolution, then a shareholder resolution, then a filing, sometimes with a fresh approval from the Registrar in between. We prepare the resolutions, the forms and the attachments together, so the change is complete and the company's master data on the MCA portal is right.

Documents to keep ready

  • Board or shareholder resolution approving the change
  • Consent and KYC documents of new directors
  • Proof of the new registered office
  • Altered memorandum or articles, where they change
