Company Name Change
Changing the name of a company or LLP, from name approval to the fresh certificate of incorporation.

Who needs it
Companies and LLPs rebranding, changing their line of business, or asked to change a name that conflicts with a trademark.
A company's name can be changed at any time, but it takes a sequence of approvals, and the Registrar will not approve it while annual filings are pending.
The steps
- Check the new name for availability and trademarks, and reserve it through RUN
- Board resolution, then a special resolution of shareholders, filed in MGT-14
- Application for approval in INC-24, after which the Registrar issues a fresh certificate of incorporation
- Update the PAN, GST, bank, letterheads and contracts
After the change
The company remains the same legal person: contracts, assets and liabilities carry on. We give you a checklist of every registration and document that should show the new name.
Documents to keep ready
- Board resolution and special resolution approving the new name
- Altered memorandum and articles
- Trademark search for the new name
- Latest filings up to date (pending returns can hold up approval)
