Board Meetings & Corporate Governance

Notices, agendas, minutes and statutory registers for board and general meetings, kept to the Secretarial Standards.

Board Meetings & Corporate Governance

Who needs it

Every company: the Act requires at least four board meetings a year with no more than 120 days between two meetings (one per half-year for small companies and one person companies), and an annual general meeting for all but one person companies.

Board and shareholder decisions are only as good as the paperwork behind them. A missing notice, a quorum that was not recorded or minutes signed late can make a decision open to challenge, and banks, investors and auditors all ask to see the minutes.

What we look after

  • Notices and agendas for board, committee and general meetings, sent on time
  • Draft resolutions, including resolutions by circulation
  • Minutes written and signed within the time the Secretarial Standards allow
  • Statutory registers: members, directors and their shareholding, charges, contracts with related parties
  • Directors' disclosures of interest and declarations of independence
  • Filing resolutions with the Registrar where the Act requires it

Governance that fits your size

A two-director private company does not need the processes of a listed company. We set up a calendar and a simple routine that meets the law for your company, and grow it as you add investors, independent directors or committees.

Documents to keep ready

  • Articles of association
  • List of directors and their committee roles
  • Previous minutes
  • Draft financial statements for the board meeting that approves them
